EQ Bank is seeking a knowledgeable, dynamic and articulate Associate Director, Board Services and Assistant Corporate Secretary.
This role serves as a critical support function for the Board of Directors, ensuring the Board fulfills its fiduciary and statutory duties while maintaining regulatory compliance across EQB Inc. and its subsidiaries. Acting as the primary liaison for Board members, the position facilitates effective governance by managing board meetings, preparing accurate minutes, maintaining corporate records, and coordinating onboarding and remuneration processes for directors. Additionally, the role oversees governance policies and processes, identifies areas for improvement, and ensures alignment with evolving best practices.
Key responsibilities include managing all aspects of board governance, such as coordinating annual shareholder meetings, ensuring compliance with regulatory bodies (OSFI, Bank Act, Securities Act, etc.), and maintaining work plans and governance documentation for boards and committees. The position also requires managing insider reports, drafting corporate transaction documentation, and liaising with external advisors, proxy firms, and regulators. Deep expertise in corporate governance, compliance rules, and regulatory frameworks is essential, along with exceptional organizational and communication skills.
Reporting administratively to the VP General Counsel but functioning autonomously, this role requires sound judgment, confidentiality, and the ability to advise directors and senior management on legal, regulatory, and governance matters. It plays a pivotal role in safeguarding the reputation of EQB Inc. and its subsidiaries by ensuring adherence to governance standards and timely resolution of board-related complexities.
